GENERAL CONDITIONS AND TERMS OF BUSINESS AND USE NOTE:

The English translation of these GCTBU is for informational purposes, only. In case of doubt, the German version, only, shall be considered legally valid and binding. Only the German version regulates the legal relationship between the contractual parties.

Article 1 (General)

1.1. These General Conditions and Terms of Business and Use (hereinafter referred to as GCTBU) regulate the mutual rights and obligations of - on one hand - Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs), which operates the Reservation System integrated in the Internet website www.suedtirols-sueden.info and - on the other hand - the individual Service-Providers as well as the Booking Customers of the said Reservation System.

1.2. The Reservation System represents an electronic contact platform between Service-Providers and Booking Customers, who, after contact has been established, act independent and apart from the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs).

1.3. These GCTBU thus do not regulate the legal relationship between the Service-Providers and the Booking Customers, even if it is enabled by the use of the Reservation System of the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs).

1.4. The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs), the operator of the Reservation System, is in no case a party to the contractual relationship arising between the individual Service-Providers and the Booking Customers, even if it is enabled by the use of the Reservation System. The contractual parties, alone (i.e., the Service-Providers and the Booking Customers,) define the contents and conditions of the individual contracts (e.g., tourist service, additional services, cancellation conditions, "no-show" charges) and are liable for their non-fulfillment as well as for all other contractual agreements and extra-contractual act.

1.5. The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) is entitled to unilaterally alter these General Conditions and Terms of Business and Use at any time. The alterations become effective upon their being published in the Internet website www.valgardena.it and can be viewed there online, stored, or printed out at any time.

1.6. The acknowledgement and acceptance of these General Conditions and Terms of Business and Use by the Booking Customers at the conclusion of the reservation process is the prerequisite for the transmission of the reservation inquiry to the Reservation System. No one refusing to accept these GCTBU is allowed to use the Reservation System.

1.7. The individual Service-Provider accepts these GCTBU by signing the contractual agreement with the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs), by means of which he joins the Reservation System.

Article 2 (Definitions)

2.1. The Reservation System of the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) is an automatic information and Reservation System which can be used at the official Internet platform of the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) at www.suedtirols-sueden.info. The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) places the Reservation System at the disposal of the Service-Providers - on one hand - and the Internet users and Booking Customers - on the other - for the purposes defined in these General Conditions and Terms of Business and Use with the goal of enabling the establishment of business relations between the Service-Providers and the Booking Customers.

2.2. 'Service-Providers' and/or 'Providers of Tourist Services' are natural and/or legal persons, companies, or corporations which offer lodgings, associated services, and possibly also other tourist services in the Reservation System.

2.3. 'Booking Customers' are natural and/or legal persons, companies, or corporations which book lodgings, associated services, and possibly also other tourist services with the individual Service-Provider via the Reservation System.

2.4. The term 'data content' includes all data and information pertaining to the tourist services offered by the Service-Provider, regardless of their form, and are entered into the Reservation System by the Service-Provider, himself.

Article 3 (Rights and Obligations of the Service Provider. Data Contents)

3.1. Upon conclusion of the contractual agreement with the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs), the Service-Provider receives his individual data for accessing the Reservation System. The Service-Provider accesses the Reservation System by identifying himself by means of a user name and a password in the "TicWeb" access module.

3.2. As remuneration for the commercial use of the Reservation System, the Service-Provider pays a fee (hereinafter referred to as the "system fee") to the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs).

3.3. The system fee is charged whenever a reservation is completed, and amounts to 2% (plus VAT), of the total sum of the services booked by the Booking Customer for Service-Providers with advertisements in the current Magazine of the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs). A system fee of 3 % (plus VAT) is charged for Service-Providers without advertisement in the above mentioned brochure.

3.4. If the contractual relationship arising via the reservation between the Service-Provider and the Booking Customer is dissolved, and if the Service-Provider is therefore obligated to remit the advance payment received through the Reservation System to the Booking Customer, the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) grants the Service-Provider the right to demand remittance of the paid system fee without interest. This is without any further claim by the Service-Provider against the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs).

3.5. The Service-Provider is obligated to carefully and completely enter the data content into the Reservation System and to constantly maintain and update it. Furthermore, he is obligated to enter no data into the Reservation System which is in any way illegal, untrue, obscene, or pornographic, which violate the rights of third-parties in any way, which are commercially harmful, slanderous, or incite to violence, which could damage the good reputation of the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) (the operator of the Reservation System), or which disturb or damage the proper operation and smooth functioning of the Reservation System.

3.6. The Service-Provider declares explicitly that he possess all rights to the entered data content and is obligated to indemnify, in this regard, the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) against claims from all third parties, regardless as to whether these claims are settled in court or out of court.

3.7. In the event of a violation of this agreement, the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) reserves the right to temporarily or permanently disable the relevant data contents. By the same token, Service-Providers who violate these GBT or legal regulations can be barred or excluded from the Reservation System at any time, without advance warning or the possibility of asserting rights or claims; the contractual agreement is then deemed as having been dissolved due to the sole fault of the Service-Provider. Furthermore, the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) reserves the right to undertake steps to obtain compensation for material and/or immaterial damages it has suffered as the result of such violations.

3.8. The Service-Provider is obligated to make only those offers accessible to the Booking Customers which are in fact available; the Service-Provider bears sole responsibility for ensuring this. The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs), the operator of the Reservation System, cannot be made liable in any form for possible overbooking and in particular for any false or untrue statements or claims made by the Service-Provider.

3.9. The Service-Provider is obligated to be transparent, in particular with regards to the maintenance and entry of the data content. The stated prices for tourist services are all-included prices. In the event that any additional charges, surcharges, fees, or other costs are incurred, the Service-Provider must explicitly emphasize them.

3.10. In the event of a violation of the previous 3.8. or 3.9., the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) reserves the right, after previous admonition, but at its own discretion, to disable or remove the Service-Provider's data content from the Reservation System. In this case, the contractual agreement is then deemed as having been dissolved due to the sole fault of the Service-Provider.

3.11. The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) reserves all rights to publish information at the Internet website under the URL of www.valgardena.it, and/or at other Internet sites and Internet addresses through which the Reservation is made accessible which are not directly or indirectly related to the Reservation System, and to offer other services, to include hyperlinks, and to insert advertising banners.

3.12. The contractual agreement between the Service-Provider and the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) shall have a duration of one year, and shall be prolonged implicitly every year for an additional year unless either of the contractual parties terminates it in writing at least two months prior to the expiration date.

3.13. The conclusion of the contractual agreement between the Service-Provider and the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs), results in a legal relationship for the admission of the Service-Provider to the Reservation System, which is regulated by these GCTBU. The Service-Provider - who must be a commercial tourist service-provider - declares that he accepts all regulations of these GCTBU and that he will not dispute or otherwise take exception to these GCTBU or any of its individual regulations which may not meet with his approval, or - prior to conclusion of the contractual agreement - object to them in writing or otherwise formulate reservations about them.

Article 4 (Rights and Obligations of the Booking Customer)

4.1. By using the Reservation System, the Booking Customer explicitly declares his acceptance of General Conditions and Terms of Business and Use.

4.2. The information, data, and (if relevant) the confirmations of booking transmitted from the Reservation System to the Customer are not provided by the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs), but rather by the individual Service-Provider and/or are created by the Reservation System automatically and on the basis of the data content entered by the Service-Provider. For this reason, the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) is not liable for the correctness and completeness of the data content thus made available - in particular not for the actual availability of the offered tourist service or for the correctness and completeness of the prices listed by the Service-Provider. Furthermore, the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) is not liable for the quality of the offered tourist service. The legal relationship in regards to the tourist service exists solely between the Service-Provider and the Booking Customer.

4.3. The Booking Customer has the option of entering one or several parameters to place an inquiry about the tourist services offered through the Reservation System. The services are listed randomly on the basis of the parameters entered; the sequence of listing in no way reflects a classification or rating of the offered services.

4.4. The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) declares that the data entered by the Booking Customer shall be used in accordance with currently valid data protection regulations, exclusively for the purpose of processing the inquiry and/or effecting a transaction.

Article 5 (Reservation Process and cancellation)

5.1. The Booking Customer can, at any time up until he confirms that he wants to transmit his data by clicking the 'book now' button, alter, correct, or delete the entries he has made in the various different fields of the entry form. The Booking Customer thus has the option of repeatedly and completely checking his entries before transmitting them; further, he will be called upon to perform this check.

5.2. After accepting these General Conditions and Terms of Business and Use and clicking the 'book now' button, the data entered by the Booking Customer is transferred to the Reservation System as a binding reservation.

5.3. The Service-Provider is notified of the reservation placed by the Booking Customer by means of an automatically generated e-mail.

5.4. By means of an automatically generated e-mail, the Service-Provider is informed by the Reservation System of the reservation placed by the Booking Customer.

5.5. Upon transmitting the credit card number to the Reservation System, the Booking Customer explicitly authorizes the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) to automatically debit the advance payment of 30% of the total price of the tourist service from the stated credit card, for the sole purpose of automatically transferring the corresponding amount via a virtual transaction account directly to the Service-Provider.

5.6. The individual Service-Provider authorizes the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) to levy an advance payment amounting to 30% of the price for the booked tourist service, for the sole purpose of automatically transferring the corresponding amount via a virtual transaction account directly to the Service-Provider.

5.7. The advance payment, minus the system fee set forth in points 3.2. and 3.3. of these General Conditions and Terms of Business and Use, shall be automatically transferred by the Reservation System to the bank account stated by the Service-Provider via a transit account.

5.8. The remaining amount for the reserved tourist service shall be paid by the Booking Customer to the Service-Provider directly on site. The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) extends no guarantee for the acceptance of credit cards or other cashless forms of payment by the Service-Provider on site.

5.9. In the event that the advance payment fails, for whatever reason, no reservation shall be deemed to have been effected, and no legal relationship shall be deemed to have arisen.

5.10. All cancellations must be communicated to the Service Provider in writing.

5.11. The guest may withdraw from the booking contract up to 30 days before the agreed date of arrival without stating any reason and without being subject to any penalties or claims whatsoever.

5.12. Apart from the provisions stipulated in 5.11., the guest shall be entitled to withdraw from the booking contract but obliged to pay the following cancellation fee:
· 30% of the total package booked if cancelled up to 15 days before the scheduled arrival
· 60% of the total package booked if cancelled up to 8 days before the scheduled arrival
· 70% of the total package booked if cancelled 8 days before the scheduled arrival or later or if the guest does not arrive at all.

5.13. If a booking is cancelled as stipulated in 5.11., the Service Provider returns the advance payment to the guest's account, provided that the guest is entitled to a refund as stipulated in 5.11.

5.14. If a booking is cancelled 30 days before the scheduled arrival or later, the Service Provider shall then be entitled to demand payment of the remaining amount from the guest as stipulated in 5.12.

Article 6

(Liability of Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs))

6.1. The reservation shall be deemed as having been effected as soon as the Booking Customer's data have been transferred into the Reservation System, the Booking Customer has received the e-mail generated by the Reservation System and confirming the reservation and the advance payment has been successfully transferred. The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) assumes no liability for the transmission of an additional written or oral confirmation of reservation by the individual Service-Provider.

6.2. The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) assumes no liability for the truthfulness and correctness of the data entered by the Booking Customer during the reservation process, nor does it accept any liability that the Booking Customer is authorized to use the stated credit card and/or other form of cashless payment, or that the amounts to be debited, are covered or that the individual cards have not been inactivated.

6.3. The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) assumes no liability for any damages of any kind, whether justified or not, which may result from the unavailability of the Reservation System or interruptions in its operation, for damages resulting from incorrect bookings, or for damages resulting from the misuse of the Reservation System by third parties.

6.4. The Service-Providers are responsible for the correctness of data published on the portal. The representation of Service-Providers on the portal does not imply any grading or recommendation. No liability is therefore assumed for wrong and/or incorrect information that are published on the portal with regard to the Service-Providers (including rates and availability). The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) cannot be held responsible for the services offered in the accommodations of Service-Providers and any damage that might arise in connection with a stay in the accommodations, or even for damage that might arise before or after a stay in one of the accommodations and that is connected with reservations, cancellations, late arrival or early departure.

6.5. The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs), the operator of the Reservation System, is in no case a party to the contractual relationship arising between the individual Service-Providers and the Booking Customers, even if it is enabled by the use of the Reservation System. The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) cannot be made liable in any form by the Booking Customer for possible overbooking. Furthermore, the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) is in no way liable with respect to the Service-Provider in the event that the Booking Customer does not make use of the reserved services (so-called 'no-shows').

Article 7 (Data Protection)

7.1. The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) declares that the personal data made available to it shall be stored and processed exclusively in accordance with currently applicable data protection regulations.

7.2. The Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) declares additionally that the data collected via the Reservation System shall be stored and processed solely in order to complete the reservation process and/or to fulfill the contractual obligations and will be passed on to third parties only if this is necessary to complete the reservation process.

7.3. The data is processed using automated systems and includes all of the processes listed in Article 4, Section 1, Letter a) of the Legislative Decree of June 30, 2003, No. 196 and necessary for the relevant data processing procedures. In any case, the data processing shall be carried out in full compliance with all measures guaranteeing the security and confidentiality of the affected data. According to Article 7 of the aforementioned Decree, the affected party has the right to know if and which of his personal data have been collected by the individual data-processing entity and to demand more-detailed information about this data, its origin, and the purpose and goal of its processing. The affected party has the right to confirm and check his data, to correct and supplement it, to apply for its deletion or deactivation or that it be converted into anonymous data, if processing violates the legal regulations. He has the right, given sufficient cause, to refuse to allow that his data be completely or partially processed, and to demand that it be deleted, deactivated, or converted into anonymous data - and even without sufficient cause if the data is being used for commercial purposes, to send advertising material, to promote direct sales, or for marketing and market research purposes. These rights can addressed by the affected party, himself, or by his personal representative, by means of an inquiry placed with the responsible officer of the Tourismusverband Südtirols Süden (Tourist Board Bolzano and environs) in the person of the current president.

Article 8 (Jurisdiction)

8.1. With respect to any and all disputes arising in the context of the fulfillment, performance, and interpretation of these General Conditions and Terms of Business and Use, jurisdiction shall be that of Bozen/Bolzano. Italian Law shall be applicable.

Article 9 (Language)
